Terms of service

1. Who we are and what we provide

Wupli LLC (“Wupli”), organized in the Commonwealth of Puerto Rico, provides Wupli CRM: cloud customer-management software on a subscription basis, with messaging, forms, automations, surveys, assisted calling and API features.

By creating an account you accept these terms on behalf of the company you represent and confirm you have authority to bind it.

2. Accounts, roles and security

Each company operates in an isolated workspace. You are responsible for the people you invite, the roles you assign them (admin, manager, operator, analyst) and for removing access when someone leaves your team.

Two-factor authentication is mandatory for every user. API keys you generate act with the scopes you assign; treat them like a password.

3. Subscription, trial and payments

Plans are billed in advance, monthly or yearly, through Stripe, Inc. as payment processor. Wupli does not store card numbers.

The trial runs with a card on file and creates no charge until it ends. Published prices exclude tax; Puerto Rico IVU or any other applicable sales tax is calculated at checkout from your billing address.

Users beyond the plan's seat limit are billed per seat and prorated. You can change plans or cancel at any time from Billing.

4. Non-payment and cancellation

If a charge fails, the workspace enters a grace period with email notices. Once that period ends, or on cancellation, the workspace becomes read-only at the end of the paid cycle: nothing is deleted and you can keep exporting your data.

Wupli may suspend a workspace immediately for use that endangers the service or third parties (fraud, abuse, non-consented bulk messaging).

5. Your data

The data you upload is yours. Wupli processes it only to provide the service and neither sells it nor uses it to train third-party models. You can export it at any time as CSV.

If you connect integrations (Gmail or SMTP, calendar, WhatsApp, calling), you authorize Wupli to access those accounts on your behalf within the permissions you grant and only for CRM features.

6. Acceptable use and communications

Do not use the service to send unsolicited communications or to violate applicable data-protection, telemarketing or messaging laws (including TCPA, CAN-SPAM and WhatsApp Business policies).

You are responsible for the content you send and for having a lawful basis to contact each person. Wupli applies technical controls — suppression lists, daily caps, sending windows, do-not-call list — but those controls do not replace your obligation to obtain consent.

7. Automated calling

The AI-assisted outbound calling feature only dials when the record has documented consent, the number is not on the do-not-call list and the recipient's local time falls inside the permitted window. Recordings, where they exist, are stored in private storage and reached through signed links.

The disclosure at the start of the call, company identification and recording consent where the law requires it are the responsibility of the customer running the campaign.

8. Availability, support and liability

Wupli makes commercially reasonable efforts to keep the service available and backed up, with maintenance announced where possible. The service is provided “as is”, without implied warranties of merchantability or fitness for a particular purpose.

To the extent permitted by law, Wupli's total liability is limited to the amount the customer paid in the twelve months before the event giving rise to the claim, and Wupli is not liable for lost profits or indirect damages.

9. Changes and governing law

We may update these terms with reasonable notice by email or inside the product; continued use after the effective date constitutes acceptance.

These terms are governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal law, with venue in the courts of San Juan, Puerto Rico.
